GoSecure Channel Partner Terms and Conditions

Acceptance of Terms

By accessing or using www.gosecure.com or www. mygosecure.com (collectively, our sites) in any way, including using any Services, downloading Materials or merely browsing, our Channel Partners, agree to and are bound by the GoSecure Channel Partner Terms and Conditions set forth in this document as well as the GoSecure Terms and Conditions. You further acknowledge and accept any changes thereto that GoSecure Inc. (GoSecure) may publish from time to time (collectively, the Terms and Conditions).

GoSecure may change this document and other guidelines and rules posted on our sites from time to time at its sole discretion. Your continued access or use our Materials or Services, constitutes your acceptance of the changes. Your access and use of our Materials and Services will be subject to the most current version of the Terms and Conditions, rules and guidelines posted on our sites at the time of such a use. Please, regularly check the Terms and Conditions link to view the then-current terms as well as the GoSecure Channel Partner Terms and Conditions link. If you breach any of the Terms and Conditions, your authorization to access or use and Materials and Services automatically terminates, and any Materials downloaded or printed from our sites in violation of the Terms and Conditions must be immediately destroyed.

Description of Services

Subject to acceptance of your registration, we will provide you with the following service: GoSecure Channel Partner Program. It allows you to drive Internet traffic to GoSecure through formatted referral links that allow us to track paid sales so you can earn revenue.

Registration

To register, you must agree to the GoSecure Channel Partner Terms and Conditions and complete our application.

We will evaluate your application in good faith and will notify you of its acceptance or rejection. We may reject your application if we determine (in our sole discretion) that your site is unsuitable for the program. Unsuitable sites include, but are not limited to, those that:

• Promote sexually explicit materials,
• Promote violence,
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age,
• Promote illegal activities,
• Include "GoSecure," any other trademark of GoSecure, or variations or misspellings of any of them, in their URLs to the left of the top-level domain name (e.g., ".com", ".net", ".de", etc.) -- for example, a URL such as "GoSecure.mydomain.com", "gsecure.com" or "GoSecurehere.net" would be unsuitable,
•  Violate intellectual property rights.

By participating, you also agree that you will not engage in any such above activities. If we reject your application, you are welcome to reapply at any time. You should also note that if we accept your application and your site is thereafter determined (in our sole discretion) to be unsuitable, we may terminate this agreement.

Participation is limited to parties that lawfully can enter and form contracts under applicable law.

Classification of Partners

A GoSecure Channel Partner is regarded as a super affiliate who drives Internet traffic to GoSecure through specially formatted referral links on their site, or other approved GoSecure means.

Partners Ids

Upon your acceptance, we will provide you with access to more information and a unique referral ID. . This ID is used in all links between your site and our sites to allow accurate tracking, reporting, and fee accrual.

You must ensure that the links between your site and our sites properly utilizes such referral link formats. You will earn fees only with respect to activity on our sites occurring directly through referral links; we will not be liable to you with respect to any failure by you to use referral links, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to this agreement.

You acknowledge that, by participating and placing any of the above links within your site, we may receive information from or about prospective members to your site or communications between your site and those prospective members. Your participation constitutes your specific and unconditional consent to and authorization for our access to, receipt, storage, use, and disclosure of any and all such information, consistent with the policies and procedures set forth in the GoSecure Privacy Policy.

You also acknowledge that we or our corporate partners may crawl or otherwise monitor your site for the purpose of ensuring the quality and reliability of our links on your site e.g., to detect if links are broken or non-functional. Therefore, you agree that we or our corporate partners may take such actions, and that you will not seek to block or otherwise interfere with such as crawling or monitoring and that we or our corporate partners may use technical means to overcome any methods used on your site to block or interfere with such as crawling or monitoring. You acknowledge that as a participant, we may from time to time send you email updates. By participating, you consent to our sending you these email updates.

Further, you acknowledge and agree that you will:

• Ensure that any link or GoSecure trademark (either in logo or text form) that we include in a referral link is not obscured or altered in any way or made invisible, illegible or indecipherable to prospective members of your site;
• Use any data, images, text, or another information obtained by you from us or our  sites in connection with this agreement ("Content") only in a lawful manner and only in accordance with the terms of this Agreement;
  
• Not use any Content relating to any excluded site sold by any excluded site;
  
• Not modify or alter any Content that consists of a graphic image, other than to resize it;
  
• Not edit any Content that consists of text, other than to shorten its length;
  
• Not sell, redistribute, sublicense or transfer any Content;
  
• Not use any Content in a manner intended to send sales to any site other than our sites;
  
• Promptly delete any Content that is no longer displayed on our sites or that we notify you is no longer available for your use and
  
• Not use any Content, including any name or likeness embodied therein, in a manner (e.g., a closely proximate placement to unrelated third party materials) that implies a person's or company's endorsement or sponsorship of, or commercial tie-in or other association with, any service, party or cause.

Limited License

We grant you a nonexclusive, revocable right to use the approved graphic and text solely for the purpose of identifying your site as a participant and to assist in generating sales.

You can not use the image or text in an offline promotion or other offline manner (e.g., in any printed material, mailing or other document). You can not modify the graphic image, text, or any other of our images in any way. You agree to follow our Trademark Guidelines, as the guidelines may change from time to time. We reserve all of rights to the graphic images, text, our trade names and trademarks, and all other intellectual property rights.

We may revoke your license at any time by giving you written notice.

Except for the license granted above you do not obtain any rights in any intellectual property, including, without limitation, any intellectual property with respect to the referral links, link formats, technical specifications, guidelines or graphical artwork referenced above, or with respect to the GoSecure.

Tracking

The referral ID can be used freely on websites, blogs, and emails to recommend becoming a member with GoSecure. Our sites recognize this unique ID in incoming traffic and credit the partner when such a prospective member becomes a GoSecure member.

GoSecure uses an extra tracking device known as a cookie in conjunction with the referral URL. The cookie is a small data file generated when the prospective member clicks on the link it records the ID of the partner responsible for the referral. GoSecure has set the expiration date of the cookie to lifetime cookies (i.e., no expiration date). This file is then deposited into the prospective member's browser effectively tagging the prospective member as belonging to you. Our sites checks to see if there is a cookie present in the prospective member's browser before processing a membership.

Our program may offer an additional tracking device such as a pre-designed promotional page that has a unique URL. This is a dynamically created CGI -Common Gateway Interface page. It behaves like a regular page, except when requested it will be encoded with a unique ID. If the prospective member bookmarks the page, it will be the partner page, they will bookmark. When they use that bookmark to return to join GoSecure, it will take them to the partner page, and we will credit the Partner ID with the membership.

Orders and Subscriptions

We will process all orders promptly. We reserve the right to reject orders that do not comply with any requirements that we establish. We will be responsible for all aspects of order processing. Among other things, we will prepare order forms, process payments, cancellations, and returns, and handle member support.

Fee Structure

Subject to your start date, you will receive a % of "Qualifying Revenues" (revenues derived by us from Members pursuant to sales of qualifying subscriptions initiated through the links on your site, excluding costs for, taxes separately stated, service charges, rebates, credit card processing fees, returns and bad debt).. The percentage will be displayed on the partner report.

Income

We will pay earned fees on a monthly basis approximately 60 days following the end of each calendar month, we will either

• send you a check for the fees earned,
• or a credit towards GoSecure that can be applied to your account
• or directly deposit the fees earned into your financial institution (if you want us to use this method of payment, please note that you will have to provide us with the name of your bank, the bank account type, the 9-digit routing number/ABA number, the account number and the primary account holder name as it appears on the bank account) based on your preference.

If you select payment via GoSecure credit or direct deposit, we will accrue and withhold fees until the total amount due is at least 10.00. If you select payment via check, we will accrue and withhold fees until the total amount due is at least 100.00. Please note if your billing address is a US address, and you select payment via check, we will deduct a processing fee in the amount of 15.00 from the fees payable to you for each check. (This charge does not apply to those with non-US billing addresses because Direct Deposit is not available to them). No processing fee will be deducted if you select outlay via GoSecure credit or direct deposit.

We are obligated by U.S. federal law to steadily obtain tax information from our participants who are U.S. citizens, U.S. residents or U.S. corporations and from participants who are not U.S. citizens or residents but whose businesses are taxable in the U.S. If we believe you are a participant from whom we are obligated to obtain tax information, and you do not provide this information to us after we have requested it, we may withhold your fee payments until you provide this information or otherwise satisfy us that you are not a person from whom we are required to obtain tax information.

Policies

Those who join will be considered to be our partners. Accordingly, all of our rules, policies, and operating procedures will apply to our partners. We may change our policies and operating procedures at any time. For instance, we will decide the prices to be charged in accordance with our own pricing policies. Prices and availability may vary from time to time. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular service. GoSecure has reserved the right for exclusivity clauses that does not allow you to advertise similar offerings from certain companies. The name of these companies will be detailed on your report.

Reporting

GoSecure will make available reports summarizing sales activity. The form, content, and frequency of the reports may vary from time to time in our discretion. We will provide referring pages statistics and the ability to add your own ad tracking codes to links. The former data will tell you what page the prospective member was on when they clicked on your link. The later enables you to create unique URL's for use in different locations, providing you with independent statistic for each.

Ad tracking code allows you to analyze the click-through to sales ratios for different links or banners in specific locations. For every single link you create, you can set up an ad campaign with your own written description tied to a unique 4 digit ad ID in your referral URL. This enables you to quickly and easily evaluate and compare the performance of links in different locations.

You acknowledge, for various reasons recording the referring page doesn't always work. For instance, if the prospective member used a bookmark, there will be no referring page to record.

Partner Responsibility

You will be responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For instance, you will be solely responsible for:

• The technical operation of your site and all related equipment
• Ensuring the display of referral links on your site does not violate any agreement between you and any third party
• The accuracy and appropriateness of materials posted on your site
• Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for instance, copyrights, trademarks, privacy, or other personal or proprietary rights)
• Ensuring that materials posted on your site are not libelous or otherwise illegal.
• Ensuring that your site accurately and adequately discloses, either through a Privacy Policy or otherwise, how you collect, use, store, and disclose data collected from prospective members, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from prospective members and may place or recognize cookies on prospective members' browsers.

We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.

Relationship of Parties

You and we are independent contractors, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section.

You may not issue any press release with respect to this agreement or your participation; such action may result in your termination. We will make available to you a small graphic image that identifies your Site as a participant. You must display this logo or the phrase "In association with GoSecure" somewhere on your site. We may modify the text or graphic image of this notice from time to time. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that we support, sponsor, endorse, or contribute money to any charity or other cause).

Terms of the Agreement

The term of this agreement will begin upon our acceptance of your application and will end when terminated by either party. Either you or we may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this agreement for any reason, you will immediately cease use of, and remove from your site, all links to the our sites, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the service. You are eligible to earn fees only on sales of qualifying Subscription Services that occur during the term, and fees earned through the date of termination will remain payable only if the related orders are not canceled or returned. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.

Compliance with Laws

As a condition to your participation, you agree that while you are a participant you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a participant. Without limiting the foregoing obligation, you agree that as a condition of your participation you will comply with all applicable laws (federal, state or otherwise) that govern marketing e-mail, including without limitation, the CAN-SPAM Act of 2003 and all other anti-spam laws.

Independent Investigation

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT MEMBER S ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

Limitation of Liability

We will not be liable for indirect, referral, or consequential damages (or any loss of revenue, profits, or data) arising about this agreement, even if we have been willingly recommended of the possibility of such damages. Further, our aggregate liability arising with respect to this agreement and the Program will not exceed the total fees paid or payable to you under this agreement.

Disclaimers

We make no express or implied warranties or representations with respect to the program or any Materials and Services sold through the program.
